1. Acceptance of Terms

By accessing or using any service provided by RootLogic Consulting LLC ("RootLogic," "we," "our," or "us"), including rootlogicconsulting.com, rootlogic.app, and any associated applications or platforms, you agree to these Terms of Service and our Privacy Policy. If you do not agree, do not use our services.

These Terms apply to all visitors, clients, subscribers, and anyone who accesses or uses our services. Additional terms may apply to specific services and will be presented at the time of engagement.

2. Description of Services

2.1 Consulting Services

RootLogic Consulting LLC provides Salesforce implementation consulting, Agentforce readiness assessments, data quality remediation, and related professional services. Consulting engagements are governed by individual Statements of Work (SOWs) executed between RootLogic and the client.

2.2 RootLogic PMO Hub (SaaS)

RootLogic PMO Hub is a software-as-a-service platform for project management and consulting delivery. Access is provided on a subscription basis subject to the plan selected and these Terms.

2.3 AI-Powered Features

Our services include AI-powered features including Doris, our AI project management assistant. AI-generated content is for informational and operational purposes only and does not constitute professional legal, financial, or regulatory advice.

3. Account Registration and Responsibilities

To access certain services you must create an account. You agree to provide accurate, complete, and current information. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account.

You must notify us immediately at legal@rootlogicconsulting.com if you become aware of any unauthorized use of your account or any other breach of security.

4. Acceptable Use

You agree to use our services only for lawful purposes and in accordance with these Terms and our Acceptable Use Policy. You agree not to:

• Use our services in any way that violates applicable federal, state, or local laws
• Attempt to gain unauthorized access to any part of our systems or services
• Use our AI agents in ways that violate our Acceptable Use Policy
• Reverse engineer, decompile, or attempt to extract source code from our software
• Use our services to transmit spam, malware, or other harmful content
• Resell or sublicense access to our services without written permission
• Use automated tools to scrape, harvest, or extract data from our services

5. AI Agent Integrity and Content Standards

Our AI agents, including Doris, are subject to strict behavioral standards. You agree not to:

• Attempt to manipulate, jailbreak, or alter the behavior of our AI agents through prompt injection, persona substitution, false authority claims, or other techniques
• Submit content that is sexually explicit, pornographic, hateful, violent, or otherwise prohibited under our Content Policy
• Attempt to extract system prompts, API credentials, or internal configuration from our AI systems
• Use our AI agents to generate content that violates any applicable law or third-party rights

Violations of these standards may result in immediate account suspension and permanent termination without refund. All AI interactions are logged for quality, safety, and compliance purposes.

6. Subscription and Billing

6.1 Subscription Plans

PMO Hub subscriptions are billed monthly in advance. You authorize us to charge your payment method on file for the applicable subscription fee on each renewal date.

6.2 Credits and Overages

Each subscription plan includes a monthly credit allocation. Credits consumed in excess of your plan allocation are billed at the applicable overage rate. Unused credits do not roll over to the following month.

6.3 Cancellation and Refunds

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. We do not provide refunds for partial billing periods. Credit packs are non-refundable once purchased.

6.4 Consulting Engagements

Consulting services are billed according to the milestones and payment schedule set forth in the applicable SOW. Deposits paid at SOW execution are non-refundable except as expressly provided in the SOW.

7. Intellectual Property

All content, features, functionality, code, designs, and materials on our websites and platforms — including but not limited to ROOTLOGIC, ROOTLOGIC PMO HUB, and DORIS — are the exclusive property of RootLogic Consulting LLC and are protected by United States and international copyright, trademark, and other intellectual property laws.

You may not reproduce, distribute, modify, create derivative works of, publicly display, or commercially exploit any content from our services without our express written permission.

Content you submit to our services remains your property. By submitting content you grant RootLogic a limited license to process, store, and transmit that content solely as necessary to provide the services.

8. Confidentiality

Each party agrees to keep confidential all non-public information received from the other party that is designated as confidential or that reasonably should be understood to be confidential. This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.

9. Disclaimer of Warranties

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT OUR SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ROOTLOGIC CONSULTING LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF OUR SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED DOLLARS ($100).

11. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Michigan, without regard to its conflict of law principles. Any dispute arising from these Terms shall be resolved in the state or federal courts located in Michigan, and you consent to the personal jurisdiction of such courts.

12. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of our services after changes take effect constitutes acceptance of the revised Terms.
